These Terms & Conditions describe how you may use the website and services provided by Netmore Sdn Bhd (“Netmore”, “we”, “our”, or “us”). When you access our website or engage our services, you accept these terms. If you do not agree, please stop using our website and services.

1. Our Services

Netmore Sdn Bhd provides web design, eCommerce development, SEO, branding, and digital services in Malaysia. Every project follows a written quotation, proposal, or Scope of Work (SOW). These documents outline the deliverables, timelines, and fees. If any conflict appears between these terms and your signed SOW, the SOW will apply. Therefore, the SOW takes priority for clarity.

2. Intellectual Property Rights

Netmore owns all design concepts, layouts, graphics, code, and creative materials until we receive full payment. After full payment, you receive a non-exclusive and perpetual licence to use the final deliverables for your business. However, you may not resell, redistribute, or reuse our work for another party without written approval.

Portfolio Usage

We may showcase your completed project in our portfolio, case studies, marketing materials, social media posts, or award submissions. This may include screenshots, mockups, descriptions, or website links. If your project is protected by an NDA or a written restriction, we will follow those conditions. In addition, you may request removal or anonymisation from our portfolio.

3. Project Scope and Additional Requests

We complete work based on the approved Scope of Work or proposal. When you request new features, extra pages, or significant design changes, these fall outside the original scope. Therefore, we will prepare a revised quotation for any new request. Work begins only after you approve the updated fees and timeline.

4. Client Responsibilities

You must provide content, images, login credentials, and design feedback on time. These materials help us maintain progress. Consequently, our project timelines depend on timely communication and complete information. If delays occur, we will adjust the timeline accordingly.

Project Delays

If you do not provide required information or approval for more than thirty days, we may pause or end the project. Payments made are non-refundable. In such cases, if you request to continue later, the project will require a new quotation, updated pricing, and a revised schedule.

5. Long-Term Inactivity

If your project remains inactive for more than six months due to your delay, we may close the project. Any future request to restart the project will be treated as a new engagement. As a result, new fees and timelines will apply. This approach ensures a fair process for both parties.

Unreasonable Requests

We may decline or terminate projects when repeated last-minute changes, major new requirements, or unreasonable demands make the project unmanageable. Furthermore, this allows us to maintain quality and protect our team’s workflow.

6. Payments and Refunds

All fees and payment schedules appear in your quotation or invoice. You must pay invoices by the stated due dates. Failure to pay may cause us to pause work or withhold access. Payments are non-refundable once work begins because time and resources have already been allocated.

7. Website Launch and Handover

A website is considered launched when it goes live on the agreed domain. After final payment, we provide access credentials when applicable. However, changes made by you or third parties after launch may cause issues. Fixing these issues is considered new work and will require a separate quotation.

8. Warranty, Support, and Maintenance

We test each website before launch to ensure it works as described in the Scope of Work. After launch, any fixes unrelated to our work, feature upgrades, or content updates are not included in the original fee. Therefore, ongoing support, updates, and improvements require a maintenance plan or a new quotation.

9. Third-Party Tools and Integrations

Your project may use third-party tools such as hosting services, plugins, email providers, themes, or payment gateways. While we help with setup, we do not control these systems. Their prices, features, or performance may change. Consequently, any extra work caused by third-party issues may require new fees.

10. Limitation of Liability

We deliver services with reasonable care. However, we cannot guarantee that websites or digital systems will always operate without errors or interruptions. Netmore is not responsible for any indirect losses, including downtime, lost data, or lost revenue. Our total liability will not exceed the project fee paid. In other words, our liability is limited.

11. Indemnity

You agree to indemnify Netmore for any claim or loss that arises from content you provide, misuse of our services, or breaches of these terms. You also confirm that all materials you submit do not violate intellectual property rights. In addition, you are responsible for ensuring accuracy and legality.

12. Termination of Services

We may suspend or terminate services if you breach these terms, fail to make payments, or use our services unlawfully. We may also terminate the project if delays, unreasonable demands, or major scope conflicts make the work unmanageable. Payments already made will not be refunded. Consequently, a terminated project cannot continue without a new agreement.

13. Proper Use of Website

You must not disrupt or damage our website. You may not hack, scrape, or attempt to access restricted areas. In addition, you may not copy or reproduce our content without written permission.

14. Governing Law

These Terms & Conditions follow Malaysian law. Any dispute will be handled by the courts in Kuala Lumpur. Therefore, all parties agree to this jurisdiction.

15. Changes to These Terms

We may update these Terms & Conditions at any time. The latest version replaces all earlier versions. Your continued use of our website or services confirms your acceptance of the updated terms. For this reason, we encourage you to review these terms regularly.
